LEGISLATION WITH RETROSPECTIVE EFFECT

Dictum

Thus, the effect of making Exhibit 7, a subsidiary legislation with retrospective effect, to take care of the appointment process of the Emirship of Suleja, which as I earlier pointed out, has the force of law and now over-rides customary law. This is the moreso, in the instant case where confusion characterising the kingmaker’s body charged with the selection process and which was not helped by declaring what role the customary law vis-a-vis Exhibit 10 (the chronicle of Abuja) played in that process needed to be formalised and codified.

DOCUMENTS SHOULD BE GIVEN THEIR ORDINARY MEANING

See SOLICITOR-GENERAL, WESTERN NIGERIA v. ADEBONOJO (1971) 1 All NLR 1978 – what happened in the case was that the 1st respondent was granted a scholarship by the Government of Western State of Nigeria. As a result he and his guarantors executed a bond in which he undertook that upon passing the relevant examinations he would serve the Government for a period of five years in any capacity considered appropriate by the Government. The respondent passed the relevant examination and returned to Nigeria but he was not given the necessary certificate because he had not spent the stipulated period on the course. The Government gave him an appointment which, having regard to all the circumstances of the case, was considered appropriate. He was not satisfied. He resigned the appointment before the expiration of five years. The Government consequently sued him and his guarantors for the refund of the amount spent on him pursuant to the grant of the scholarship.

The learned trial Judge found that the 1st respondent committed a breach of the bond by resigning his appointment before the expiration of the period stipulated in the agreement and entered judgment for the Government. On appeal to the then Western State Court of Appeal by the respondents, the court allowed the appeal and set aside the judgment of the learned trial Judge. The Western State Court of Appeal held, inter alia, that to be appropriate, any capacity in which the 1st respondent was called upon to serve by virtue of the relevant clause of the agreement must be reasonable. Dissatisfied with the judgment, the Government appealed to the Supreme Court.

The Supreme Court allowed the appeal, set aside the judgment of the Western State Court of Appeal, and restored the judgment of the learned trial Judge. In allowing the appeal, the Supreme Court stated, inter alia, as follows: “Now we have already set out the provisions of clause 4(a) of exhibit C and in the events which had happened it is easy to see why a consideration of that clause has become a matter of paramount relevance. To us, this clause clearly stipulates that after qualification the first defendant could be offered employment by the Permanent Secretary, Ministry of Education, Western State in a capacity considered suitable by the regional government. In his consideration of that clause and his application of it to the facts of this case, Delumo, J. had held that according to the provision of the clause it is the regional government that would decide the capacity which is appropriate. On the other hand, the Western State Court of Appeal took the view that the word ”reasonable” and (the ”concept of reasonableness”) should be imported into the contracts of the parties for the purpose of construction. Neither of the parties to Exhibit C (and Exhibit H) contemplated that the word should be included in their agreement and throughout Exhibit C (and Exhibit H) that word was not even breathed. It is obvious from the confusion that arose in the Western State Court of Appeal itself that the court was in difficulty to ascertain the real position into which the word ‘reasonable’ could or should be fixed. It is the alphabet of his study to any lawyer that in the construction of documents the words must first be given their simple and ordinary meaning and that under no circumstances may new or additional words be imported into the text unless the documents would be by the absence of that which is imported impossible to understand.”

SEVERAL PARTS OF A WRITTEN INSTRUMENT MUST BE INTERPRETED TOGETHER TO GET THE INTENTION

I agree with Mr. Sofola, S.A.N., in his submission that the court below was in error to have relied on clauses 3 and 6 of the lease agreement only and limited itself in the construction of the lease agreement to the construction of these clauses alone. The approach adopted by the court below is in violation of one of the fundamental and hallowed principles in the construction of document and written instruments, that the several parts, where there are more than one, must be interpreted together to avoid conflicts in the natural meaning in the various parts of the written document or instrument. This rule of construction was approved by this court in Ojokolobo & Ors. v.Alamu & Anor. (1987) 3 NWLR (Pt. 61)377,(1987)7 SCNJ 98.

SPECIAL PROVISIONS DEROGATE FROM GENERAL PROVISIONS

The law is settled that in the interpretation of statutes, special things derogate from general things (generalibus specialia derogat). Where there is a conflict between two legislations one of which is special on a subject and the other legislation is general in nature, the legislation that is special in nature shall supersede.

PURPOSIVE INTERPRETATION WHEN LITERAL INTERPRETATION WILL LEAD TO ABSURDITY

Office of Governor, Adamawa State PDP V. INEC (1999) 11 NWLR (Pt. 626) 200 SC, the natural words of the Constitution at the time only allowed for the assumption of office by a Deputy in the event of the Governor’s death and at page 249 in PDP V. INEC (supra), Wali, JSC, very aptly observed as follows: “Where literal interpretation of a word or words used in an enactment will result in an absurdity or injustice, it will be the duty of the Court to consider the enactment as a whole with a view to ascertain whether the language of the enactment is capable of any other fair interpretation, or whether it may not be desirable to put a secondary meaning on such language, or even to adopt a construction which is not quite strictly grammatical Alhaji Atiku Abubakar and Mr. Bonnie Haruna were simultaneously elected as Governor and Deputy Governor of Adamawa State by the electorate of that State. Each must have his own supporters that had voted for him. Each has, therefore, acquired a right by being elected. If the narrow and literal interpretation applied to Section 37(1) of the Decree by the Court of Appeal is adopted, the end result will be that Mr. Bonnie Haruna, through no process of a successful election petition lodged against his election, is being deprived of the mandate given to him by the people of Adamawa State. It is manifest from the fact in this case that principles of justice require that where something is not expressly provided for in an enactment, the Court, in interpreting such enactment, will take into consideration the spirit and meaning of the enactment as a whole and construe it accordingly. To arrive at a just and fair decision, we must bear in mind the provision of Section 45(1) of the Decree, which though not in force at the time this action was instituted, but has adequately provided for a situation as the one at hand, such as resignation, permanent incapacity or removal for any other reason. The act of Alhaji Atiku Abubakar can be likened to permanent incapacity or even death in the given situation. The word “dies” in Section 37(1) of the Decree, in my view, expresses only a more permanent form of incapacity. If comparison of one clause with the rest of the enactment makes certain preposition clear and undoubted, it must be construed accordingly so as to make it a constant and harmonious whole. To adhere to the literal construction put on Section 37(1) of the Decree as done by the Court of Appeal, will lead to manifest injustice being visited on the 2nd Appellant. The word “dies” used in that Section, and having regard to Section 45(1) of the said Decree, needs to be modified to include and cover the situation created by the departure of Alhaji Atiku Abubakar, in order to avoid any inconvenience and manifest injustice to the 2nd Appellant. Courts may resort to purposive interpretation if they can find in the Statute read as a whole, or in material to which they are permitted by law to refer as aids to interpretation, an expression of legislature’s purpose and policy.”

INTERPRETATION OF THE WORD “SHALL”

When the word “shall” is used in a statute it connotes the intendment of the legislator that what is contained therein must be done or complied with. It does not give room for manoeuvre of some sort, or evasiveness. Whatever the provision requires to be done must be done, and it is not at all negotiable. In interpreting the word ‘shall’ as used in enactments, Uwais, CJN in the case of Captain E.C.C. Amadi v Nigerian National Petroleum Corporation (2000) 10 NWLR (Part 674) 76 reiterated the interpretation in earlier authorities thus:– “It is settled that the word ‘shall’ when used in an enactment is capable of bearing many meanings. It may be implying a mandate or direction or giving permission. (See Ifezue v Mbadugha (1984) 1 SCNLR 427 at 456–7). In this present case we are concerned with whether it has been used in a mandatory sense or directory sense. If used in a mandatory sense then the action to be taken must obey or fulfill the mandate exactly; but if used in a directory sense then the action to be taken is to obey or fulfill the directive substantially. See Woodward v Sersons (1875) L.R. 10 CP 733 at page 746; Pope v Clarke (1953), Julius v Lord Bishop of Oxford (1880) 5 A.C. (H.L.) 215 at page 222 and 235 and State v Ilori (1983) 1 SCNL 94 at 110 …”

HEADINGS OF A STATUTE SHOULD BE LOOKED AT TO CLARIFY AMBIGUITY

My Lords, I am persuaded that we must look at the heading of both sections of the statute to clarify any ambiguity. See OGBONNA v. A. G. IMO STATE (1992) 1 NWLR Pt. 220 Pg. 647, OYO STATE BOARD OF INTERNAL REVENUE v. UNIVERSITY OF IBADAN (2013) LPELR 2215.
